Why Correct Title Registration Matters for an SSAS

When an SSAS purchases a commercial property, legal ownership vests in the trustees of the scheme — not in the sponsoring company, not in the individual members, and not in the pension scheme as an abstract entity. The property must be registered at HM Land Registry in the names of the current trustees of the SSAS.

Correct title registration is not merely a formality. It:

  • Establishes the SSAS trustees as the legal owners, protecting the scheme's interest against third-party claims
  • Satisfies the lender's requirement for a first legal charge to be registered over the property
  • Confirms the public register reflects the true ownership of the asset
  • Provides the basis for future transactions (sales, grants of new leases, etc.)

Registration errors — such as incorrect trustee names, missing charges, or failure to register the SSAS as a charity exception — can cause significant complications when the property is subsequently sold or refinanced.

Who Is Registered as Owner?

The registered proprietors of the title are the trustees of the SSAS at the time of the purchase. This includes all member-trustees and the pensioneer trustee. A typical SSAS registration entry might show:

The Registration Process

Submission to HM Land Registry

After legal completion, the SSAS solicitor submits the application for registration to HM Land Registry. The application includes:

  • The completed AP1 application form
  • The TR1 transfer document signed by the vendor and trustees
  • The mortgage deed (if applicable), signed by the trustees and witnessed
  • Evidence of identity for the registering solicitors
  • The SDLT certificate (confirming SDLT has been paid)
  • The Land Registry fee

Timescales

HM Land Registry processing times have varied significantly in recent years. As of 2025, first registration applications and transfers of whole are typically taking 4-12 weeks, though complex applications or those with requisitions (queries from the registrar) can take longer.

During the period between completion and registration, the SSAS holds a legal interest in the property but the title register has not yet been updated. The solicitor will typically hold a "priority search" protecting the SSAS's priority during this period.

Registration of the Mortgage Charge

Where the SSAS has taken mortgage finance, the lender's charge must also be registered at HM Land Registry as part of the same application. Until the charge is registered, it does not have legal priority as a first charge — meaning the lender cannot rely on it as security. This is why solicitors submit the registration application promptly after completion.

Changes in Trustee Composition

A critical ongoing consideration for SSAS property owners is what happens when the trustee composition changes — when a trustee retires, dies, or a new trustee is appointed. Every change in trusteeship requires a corresponding update to the Land Registry title.

Failure to update the register can create serious practical problems:

  • A deceased trustee cannot sign completion documents for a future sale — their estate may need to be involved
  • A trustee who has left the business may be unwilling or unable to cooperate with future property transactions
  • Banks and solicitors need to know who the current legal owners are to structure security and legal documentation

How to Update the Register After a Trustee Change

When a trustee change occurs, the solicitor submits:

  • A deed of retirement and appointment (where an old trustee is retiring and a new one being appointed)
  • An AP1 application form
  • The Land Registry fee

The new trustee will be added to the register as a registered proprietor, and the retiring trustee will be removed. This is a relatively straightforward conveyancing matter, but it must be done promptly after every trustee change.

The Pension Trust and the Beneficial Interests

It is important to understand that while the trustees hold the legal title, the beneficial interest in the property belongs to the pension scheme and ultimately to its members. This distinction means:

  • The trustees cannot personally benefit from the property
  • A sale of the property or enforcement by a lender must be applied for the benefit of scheme members
  • On winding up the scheme, the property (or its proceeds) must be distributed for the benefit of members and their beneficiaries

Practical Tips for SSAS Title Management

  • Keep a record of the title number and a copy of the official title register for every property the SSAS holds
  • Review the register annually to ensure it reflects the current trustee composition
  • Update the register promptly following any trustee change — do not defer this
  • When the SSAS grants a new lease, ensure the lease is noted on the register
  • When the SSAS sells a property, confirm that the Land Registry registration is completed and the title is no longer in the scheme's name
